The company's board of directors revised the previously planned process to establish a new timeline and structure.
Financial Details and Objectives The capital increase will be conducted within the company's 2 billion TL registered capital ceiling.
The current capital of 1,076,261,904 TL is set to be raised through a cash method.
Pre-emptive rights for existing shareholders will be fully restricted for this transaction, which aims to generate total sales proceeds of 285 million TL.
The company stated that the funds obtained will be used for investments aligned with its growth strategies.
Sales Process and Participants The shares to be issued will be sold via private placement in the Borsa Istanbul Wholesale Market to designated investors.
The shares are expected to be issued in a tradable format on the stock exchange.
The list of individuals for the allocation includes: Mustafa Sezen, Orhan Başmısırlı, and Ramazan Alıcı Burak Dörtdudak, Ahmet Hakan Hakkuran, and Mehmet Püsküllü Mehmet Mıhçı, Cengiz Hakan Arslan, and Hamdi Önel Nail Tarhan, Mehmet Anadut, and Atıl Özdoğan Mustafa Keçeci and Enes Demir Legal Process and Authorization Applications will be submitted to the Capital Markets Board (SPK) and the Ministry of Trade to obtain the necessary permits for the capital increase.
The Chairman of the Board has been individually authorized to manage all stages of the process, including price calculations, brokerage agreements, and registration procedures.
